Offer documents and prospectus
Before a company can offer its shares to the public it has to put its whole story in writing and file it: what the business does, who owns it, what could go wrong, and the terms of the offer. Those documents do not stop mattering once the listing is done. They stay on the public record, and this page keeps the Fabtech set in one place, so a shareholder, an analyst or a procurement team can read the source rather than a summary of it.

In regulatory terms, this is the offer-document set from the public issue of Fabtech Cleanrooms (FABCLEAN, listed on the BSE), with the constitutional documents underneath it: the Draft Red Herring Prospectus, the Prospectus, the Memorandum and Articles of Association, the certificate of incorporation, the valuation report, the certificate given by a Practising Company Secretary under Regulation 163 of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, and the final notice of the extraordinary general meeting.
Draft Red Herring Prospectus and Prospectus
These two are the core of the set. The draft is filed first; the final Prospectus is the document the issue was actually made on, and it supersedes the draft. Both are kept here so the record is complete rather than tidy.

Memorandum and Articles of Association
The Memorandum of Association sets out what the company is: the name, the registered state, and the objects the company is empowered to pursue. The Articles of Association set out how it is run: how the board is constituted, how meetings run, and how share capital is dealt with. Between them they are what a shareholder, a lender or a customer's legal team asks for to confirm the entity behind a signature.

Certificate of incorporation
The certificate issued by the Registrar of Companies evidences the company's incorporation and the legal name it carried at that date. Where a name has changed since, a fresh certificate is issued, so the certificate on file is read together with the current exchange record.

Valuation report and the Practising Company Secretary certificate
Two independent documents sit alongside the offer. The valuation report is the external valuation prepared for the issue, and it sets out the basis and the method on which that valuation was arrived at. The Practising Company Secretary certificate is a separate professional confirmation that the issue followed the applicable SEBI requirements, given under Regulation 163 of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018.

Reading these documents as at their date
An offer document is a photograph, not a live feed. It describes the company as it stood when it was signed and is not updated afterwards. The current position sits in the ongoing disclosure record filed with the exchanges.
Three things have moved since. A change of the company's name was filed as a material event on 8 January 2026, so the legal name printed on an older document may differ from the current registered name. Two acquisitions were disclosed as material events, Kelvin Air Conditioning and Ventilation Systems Private Limited on 8 January 2026 and Advantek Air Systems Private Limited on 12 February 2026, and neither is reflected in a document issued before those dates. The resignation of the Company Secretary and Compliance Officer was disclosed on 20 April 2026, so any officer named inside an older document is read as at that document's date. All three are filed in full on the stock exchange disclosures page.

The Draft Red Herring Prospectus is the draft offer document filed ahead of an issue, setting out the business, the risk factors and the proposed structure of the offer. The Prospectus is the final document the issue is made on, and it supersedes the draft.
They are historical filings, read as at their original date, and an offer document is not updated after the issue. For the current position, the financial results, the annual report and the stock exchange disclosures are the live record.
The Memorandum of Association is the company's founding constitution, filed with the Registrar of Companies, setting out its name and the objects it may pursue. The Articles of Association are the internal rulebook for how the board, its meetings and the share capital are governed.
It is an independent professional certificate confirming that the issue was carried out in accordance with the applicable SEBI requirements, provided in full alongside the valuation report prepared for the same issue.
A figure lifted out of an offer document loses the assumptions, the date and the risk factors that make it mean anything. Every document is provided whole instead, so it can be read in context.
